- Introduction These Terms and Conditions (“Terms”) govern your use of services provided by WAGBI Co. (“Prodigy”, “we”, “us”, or “our”), a company established in the state of Delaware with a registered address at 9 E. Loockerman Street, Suite 311, Dover, DE 19901. By using our services, you agree to these Terms. If you disagree with any part of the terms, you may not use our services.
- Services Prodigy provides lead generation services, including sales prospecting campaigns via electronic mail (email). Our services include:
- Creation of unique internet domains and email accounts
- Sourcing of contacts for promotional activities
- Copywriting of sales outreach messages
- Automation of outreach to newly sourced contacts
- Eligibility You must be at least 18 years old to use Prodigy’s services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.
- Subscription and Payment
4.1 Minimum Commitment: By engaging our services, you agree to a minimum commitment of three (3) months (“Minimum Term”).
4.2 Fees: You agree to pay the monthly fee as specified in your service agreement. Payments are processed via Stripe.
4.3 Refund Policy: If you cancel within three (3) business days of signing up and no work has been performed, you will receive a full refund. After this period, all payments are non-refundable.
- Client Responsibilities You are responsible for providing all necessary information, feedback, input, and approvals required for the successful performance of our services. This includes, but is not limited to:
- Information about your company
- Sample promotional materials
- Goals for lead generation campaigns
- Detailed answers to the Prodigy onboarding form
- Confidentiality Both parties agree to keep confidential any proprietary information shared during the course of service provision. This includes, but is not limited to, lead generation processes, client information, and the existence and content of the service agreement.
- Data and Records Management You are solely responsible for managing and storing the data and records related to the leads generated by our services. Prodigy does not maintain data records or backup files.
- Intellectual Property All materials, including trademarks, copyrights, business processes, methods, documents, and designs provided by Prodigy remain the property of Prodigy.
- No Warranty Our services are provided “as is” without any warranty of any kind, either express or implied.
- Limitation of Liability Prodigy will not be liable for any indirect, special, consequential, incidental, or punitive damages arising from the use of our services.
- Indemnification You agree to indemnify and hold Prodigy harmless from any claims, actions, or proceedings arising from your breach of these Terms or your use of our services.
- Termination After the Minimum Term, either party may terminate the agreement by providing written notice at least ten (10) days before the end of the current billing period.
- Governing Law and Dispute Resolution These Terms are governed by the laws of Delaware. Any disputes will be resolved through arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules for Expedited Procedure.
- Changes to Terms We reserve the right to modify these Terms at any time. We will provide notice of significant changes.
