1. Acceptance of Terms

By accessing or using the Prodigy AI website (“Site”) or any related software, tools, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you do not agree, you may not use the Site or Services.

Prodigy AI reserves the right to modify these Terms at any time. Updated versions will be posted here with a new “Last Updated” date. Continued use constitutes acceptance of those changes.

Prodigy AI provides business-to-business (“B2B”) software and managed services that enhance sales performance and lead generation through AI-powered automation.
These may include:

  • Strategic consulting and technical support

Some services are free to browse; others require a signed proposal, statement of work (“SOW”), or Master Services Agreement (“MSA”).
The MSA or proposal terms will take precedence over these Terms for paying clients.

3. Eligibility

You must be at least 18 years old and authorized to enter contracts on behalf of your organization.
By using the Site, you represent that you meet these requirements and that all information you provide is accurate.

4. Use of the Site

You agree to use the Site and Services only for lawful business purposes and in accordance with these Terms.
You must not:

  • Setup or build fees are invoiced upfront.
  • Monthly service fees are billed in advance of each service period.
  • Late payments may incur a 1.5% monthly interest (or the maximum rate allowed by law).

Prodigy AI may suspend Services for unpaid invoices.

7. Intellectual Property

All intellectual property, software, algorithms, and processes developed or used by Prodigy AI remain our exclusive property.
Clients receive a non-exclusive, non-transferable license to use deliverables for their internal business purposes during the engagement.
You may not reverse engineer, decompile, or replicate Prodigy’s technology.

All trademarks, logos, and branding are the property of their respective owners.

8. Confidentiality

Both parties agree to protect any confidential or proprietary information disclosed during an engagement.
Neither party shall disclose such information to third parties without written consent, except as required by law.
Confidentiality obligations survive termination.

9. Data and Privacy

All personal data processed by Prodigy AI is handled in accordance with our [Privacy Policy].
By using the Services, you consent to that processing.
Clients are responsible for ensuring their use of data provided by Prodigy complies with applicable privacy and marketing laws (including GDPR and CAN-SPAM).

10. Third-Party Tools and Links

Our Site may contain links to third-party websites or use integrations with external services (e.g., Google Analytics, Slack, LinkedIn, Stripe).
We are not responsible for the content, security, or privacy practices of those third parties.

11. Disclaimers

To the maximum extent permitted by law, Prodigy AI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that:

  • Leads or outreach campaigns will achieve specific results;
  • The Site will be uninterrupted or error-free; or
  • All information will be accurate, complete, or up to date.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Prodigy AI shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
  • Prodigy AI’s total aggregate liability arising out of or relating to these Terms shall not exceed the total fees paid to us in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow these limitations, so they may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Prodigy AI, its affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses arising out of your:

  • Use or misuse of the Services,
  • Violation of these Terms, or
  • Violation of any applicable law or third-party rights.

14. Termination

Prodigy AI may terminate or suspend access to the Site or Services at any time, with or without cause or notice.
Upon termination, your right to use the Site and Services ceases immediately, and any outstanding fees remain due.

Sections concerning confidentiality, intellectual property, disclaimers, and limitations of liability shall survive termination.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
All disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.

17. Entire Agreement
