1. Acceptance of Terms
By accessing or using the website or services provided by Prodigy, a trade name of Prince Mercer Capital, LLC ("Prodigy," "we," "us," or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. We reserve the right to modify these Terms at any time. Updated versions will be posted on this page with a revised date. Your continued use of our services constitutes acceptance of any changes.
2. Description of Services
Prodigy offers B2B software and managed services designed to enhance sales performance through AI-powered automation, including lead research and enrichment, workflow automation and outreach campaigns, CRM integrations, and performance analytics. Certain services may be provided at no cost, while others require a signed agreement (MSA/SOW), which shall take precedence for paying clients.
3. Eligibility
You must be at least 18 years of age and authorized to enter into binding contracts on behalf of your organization. You agree to provide accurate and complete information when using our services.
4. Use of the Site
You agree not to: copy, modify, or distribute our content without prior written permission; attempt unauthorized access to our servers or systems; use automated bots, scrapers, or other tools to extract data except through permitted APIs; or upload harmful, misleading, or illegal content. Violations may result in immediate suspension or termination of access.
5. Account Registration
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use at [email protected].
6. Fees, Payments, and Billing
Service fees are defined in the applicable agreement (MSA/SOW). Setup fees are invoiced upfront; monthly fees are billed in advance. Late payments are subject to 1.5% monthly interest (or the maximum rate allowed by law). Unpaid invoices may result in suspension of services.
7. Intellectual Property
All intellectual property rights in our services, website, and content remain the property of Prince Mercer Capital. Clients receive a non-exclusive, non-transferable license to use our services for internal business purposes only. Reverse engineering, decompiling, or disassembling any part of our services is strictly prohibited.
8. Confidentiality
Both parties agree to protect confidential information disclosed during the course of the engagement and not to share it with third parties except as required by law. Confidentiality obligations survive the termination of any agreement.
9. Data and Privacy
Our handling of personal data is governed by our Privacy Policy. Clients are responsible for ensuring their use of our services complies with applicable privacy and marketing laws, including GDPR and CAN-SPAM.
10. Third-Party Tools and Links
Our services may integrate with or link to third-party tools and websites. We are not responsible for the content, security, or privacy practices of any third-party service.
11. Disclaimers
Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific results from lead generation, system uptime, or the accuracy of any information provided.
12. Limitation of Liability
To the maximum extent permitted by law, Prince Mercer Capital shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits. Our total liability shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Prince Mercer Capital and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your misuse of our services, violation of these Terms, or infringement of any law or third-party rights.
14. Termination
We may terminate or suspend your access to our services at any time, with or without cause. Upon termination, all outstanding fees remain due. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in the courts of New Castle County, Delaware.

17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any signed agreements, constitute the entire agreement between you and Prince Mercer Capital, superseding all prior communications and proposals.
